Welcome to FYM EduAfrica. These Terms of Service govern your use of our website and services, including student placement, study-work programs, and recruitment services. By accessing or using our services, you agree to these terms.

Welcome to FYM EduAfrica, operated by ACAWUTA LLC, a limited liability company registered in Ohio, United States. These Terms of Service ("Terms") govern your access to and use of our website (www.fymeduafrica.com), services, and related platforms (collectively, the "Services"). Our Services include, but are not limited to, international student placement, studywork programs, and recruitment services for educational and professional opportunities. By accessing or using our Services, you agree to be bound by these Terms and all applicable laws. If you do not agree with these Terms, you must not use our Services.

1. Acceptance of Terms

By accessing or using our Services, whether as an individual, educational institution, or other entity, you ("User" or "you") agree to these Terms, our Privacy Policy (available at www.fymeduafrica.com/privacy), and any additional terms referenced in specific Services. If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

FYM EduAfrica provides the following Services: International Student Placement: Assisting students in securing admission to educational institutions worldwide, with a focus on Africa and other regions. StudyWork Programs: Facilitating programs combining education and work opportunities, including visa application support (subject to applicable laws). Recruitment Services: Connecting students, professionals, and institutions with educational and career opportunities through our network of partners, including universities, employers, and service providers. Partner Network Data Sharing: We may forward applications, personal information, and related materials to partners in our network (e.g., educational institutions, visa agencies, or employers) to facilitate your use of our Services, in accordance with our Privacy Policy.

We reserve the right to modify, suspend, or discontinue any Service, in whole or in part, at any time without prior notice, subject to applicable law.

3. Eligibility

To use our Services, you must: Be at least 18 years old or have parental/guardian consent if under 18. Provide accurate, current, and complete information as requested. Not be located in a country or region subject to comprehensive U.S. sanctions administered by the U.S. Treasury’s Office of Foreign Assets Control (OFAC), such as Cuba, Iran, North Korea, Syria, or certain regions of Ukraine, or be listed on OFAC’s Specially Designated Nationals (SDN) List. Note: Targeted sanctions may apply in certain jurisdictions (e.g., Zimbabwe), and we reserve the right to restrict access to comply with U.S. law.

### 4. User Responsibilities

You agree to: Provide Accurate Information: Submit truthful and complete information when registering, applying for programs, or using our Services. False or misleading information may result in denial of Services or termination of your account. Maintain Account Security: Safeguard your account credentials and notify us immediately at contact@fymeduafrica.com if you suspect unauthorized access. Comply with Laws: Use our Services only for lawful purposes and in compliance with all applicable local, national, and international laws, including U.S. export control regulations (e.g., Export Administration Regulations, 15 CFR Part 730 et seq.). Respect ThirdParty Rights: Not infringe on the intellectual property, privacy, or other rights of others while using our Services. Prohibited Conduct: Not engage in activities such as: Attempting to reverseengineer, hack, or disrupt our website or Services. Using our Services to transmit harmful content, including viruses or malware. Misrepresenting your identity or affiliations.

5. Data Sharing with Partners

As part of our Services, you authorize ACAWUTA LLC to share your applications, personal information, and related materials (e.g., academic records, resumes, or visa documentation) with partners in our network, such as: Educational institutions for admissions processing. Employers or internship providers for studywork programs. Thirdparty service providers, including visa consultants or legal advisors, to facilitate your program participation.

All data sharing complies with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR) for users in the European Union and the California Consumer Privacy Act (CCPA). You may revoke this authorization by contacting us, but this may limit your ability to use certain Services.

6. Intellectual Property

Ownership: All content on our website and Services, including but not limited to text, graphics, logos, designs, software, and databases, is the property of ACAWUTA LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. Limited License: We grant you a nonexclusive, nontransferable, revocable license to access and use our Services for personal, noncommercial purposes, subject to these Terms. UserGenerated Content: If you submit content (e.g., applications, feedback, or testimonials), you grant ACAWUTA LLC a worldwide, royaltyfree, perpetual license to use, reproduce, and distribute such content for purposes related to providing and promoting our Services, subject to our Privacy Policy.

### 7. Limitation of Liability

To the fullest extent permitted by law: AsIs Services: Our Services are provided on an "asis" and "asavailable" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or noninfringement. No Liability for Outcomes: ACAWUTA LLC is not responsible for the outcomes of your use of our Services, including but not limited to admission decisions, visa approvals, or employment offers, as these are determined by third parties (e.g., universities, governments, or employers). Damage Limitation: ACAWUTA LLC, its affiliates, officers, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or opportunities, arising from your use of our Services, even if advised of the possibility of such damages. Cap on Liability: Our total liability for any claim arising from these Terms or your use of our Services shall not exceed the amount you paid to us for the specific Service in question, if any.

8. Indemnification

You agree to indemnify, defend, and hold harmless ACAWUTA LLC, its affiliates, officers, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising from your use of our Services, violation of these Terms, or infringement of any thirdparty rights.

9. Termination

By Us: We may suspend or terminate your access to our Services at our sole discretion, with or without notice, if you violate these Terms, engage in conduct we deem harmful to our interests or other users, or for any other reason permitted by law, including compliance with U.S. sanctions or export controls. By You: You may stop using our Services at any time. To delete your account or revoke datasharing permissions, contact us at contact@fymeduafrica.com. Effect of Termination: Upon termination, your right to use our Services ceases, and any datasharing authorizations may be revoked, subject to applicable law.

10. Governing Law and Dispute Resolution

Governing Law: These Terms and your use of our Services are governed by the laws of the State of Ohio, United States, without regard to its conflict of law principles. Jurisdiction: Any disputes arising from these Terms or our Services shall be resolved exclusively in the state or federal courts located in Hamilton County, Ohio. You consent to the personal jurisdiction of these courts. Arbitration Option: At our discretion, disputes may be resolved through binding arbitration in Ohio under the rules of the American Arbitration Association, except for claims involving intellectual property or equitable relief.

### 11. Compliance with U.S. Export Controls and Sanctions

As a U.S.based company, ACAWUTA LLC complies with the Export Administration Regulations (EAR, 15 CFR Part 730 et seq.) and OFAC sanctions. We do not provide Services to individuals or entities in countries subject to comprehensive U.S. sanctions (e.g., Cuba, Iran, North Korea, Syria, or certain regions of Ukraine) or to parties listed on OFAC’s Specially Designated Nationals (SDN) List. In jurisdictions with targeted sanctions (e.g., Zimbabwe), we may restrict access to comply with U.S. law, including restrictions on transactions with designated entities such as Croco Manufacturing (Pvt) Ltd. or Murota Bonded Services (Pvt) Ltd. By using our Services, you represent that you are not a sanctioned party or located in a comprehensively restricted jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. Updates will be posted on this page with a revised effective date. We may notify you of significant changes via email or through our website. Your continued use of our Services after such changes constitutes acceptance of the updated Terms.

13. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and ACAWUTA LLC regarding the Services. Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision. Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
